UNKNOWN ASIA participation agreement [required]	[notice]In order to submit an entry for this event,you must agree to the participation agreement. ----------------------------------- UNKNOWN ASIA 2023 Terms of Exhibit ----------------------------------- Article 1 (Purpose) These terms and conditions (hereinafter referred to as the "Terms and Conditions") stipulate the rules and regulations for exhibiting at UNKNOWN ASIA, an art fair organized by the UNKNOWN ASIA Executive Committee (hereinafter referred to as the "Committee"). Article 2 (Application) 1. Those who wish to exhibit at this fair (hereinafter referred to as "prospective exhibitors") must agree to all of the terms and conditions of this agreement and apply in the prescribed manner. 2. The Committee will review each application, and those applicants who pass the screening will be notified to the e-mail address provided at the time of application. 3. Applicants who have been notified that their application has been accepted must pay the exhibition fee separately specified by the Committee by the designated date in a manner specified by the Committee. 4. Once the Committee confirms the applicant's payment of the total amount of the exhibition fee, including the optional expenses, or the Committee approves the applicant's right to exhibit, the right to exhibit will be confirmed, and the applicant will be considered an exhibitor after that. As a general rule, if the Committee cannot confirm the payment of the total amount of the exhibition fee, including the optional expenses, by the date specified by the Committee, the prospective exhibitor's or the exhibitor's rights to exhibit will be forfeited. 5. The paid exhibition fee will not be refunded for any reason whatsoever. 6. Exhibitors are prohibited from transferring, lending, buying, selling, changing the name of the exhibitor, granting collateral, or providing any other use to a third party, regardless of the name, in whole or in part, of the exhibition and the right to receive services associated with the exhibition (hereinafter collectively referred to as "exhibition privileges"). Article 3 (Operation, Execution and Management of the Fair at the Actual Venue) 1. Booth location will be determined by the Committee after all exhibitors for the fair have been confirmed, taking into consideration the contents of the exhibit, booth shape, and configuration of the venue. 2. Exhibitors are not allowed to display or advertise in aisles, outside the exhibition hall, or in other areas not designated by the Committee. 3. Exhibitors are responsible for any theft, loss, or damage to exhibits and materials, as well as any human casualties resulting from the use of their booths. Exhibitors must strictly observe all rules and regulations regarding fire prevention, safety, and facility use applicable to the event site, and follow the instructions of the Committee. 5. Exhibitors are prohibited from exhibiting or taking any action that may criticize, attack, or interfere with specific companies, organizations, individuals, other exhibitors, or exhibits, or that may infringe on various rights such as copyrights and portrait rights, or that may interfere with the safety of visitors or the maintenance of order at the venue. If the Committee deems it appropriate to protect the order of the venue, the safety of visitors, or the rights of visitors, the exhibitor must immediately cease the exhibition or act in accordance with the Committee's request. 6. Exhibitors are responsible for the sale and purchase of their works in the exhibition booths, and the Committee assumes no responsibility for this. The use of paint, spray paint, etc. to create artworks without permission is prohibited at the venue during the event. It is also prohibited to draw anything directly on the wall without permission, even in the exhibitor's own booth. It is also prohibited to use the walls or ceilings of the building for exhibition purposes, or to scratch or leave stains on the floor or other facilities of the venue. In the event that the venue is significantly defaced or damaged, or trash is left unattended, regardless of whether it is intentional or negligent, exhibitors will be liable for compensation for repair and disposal costs. As a general rule, exhibitors are prohibited from displaying or selling food and beverages in their own booths. 9. No animals (dead or alive) are allowed in the venue. No smoking is allowed in the venue. 10. In principle, exhibitors must take all garbage home and dispose of it. 11. Packing materials such as cardboard and cushioning materials used for carrying in are allowed only within the specified range at the specified place until the time of carrying out. As a rule, all screws and nails must be removed from the booth and no items affixed to the walls must be left behind. The use of fire in the exhibition venue is strictly prohibited, and exhibitor's rights will be immediately revoked if the exhibitor fails to comply with these regulations. The organizer shall make a comprehensive decision on whether or not to hold the fair, and whether or not to postpone or cancel the fair, based on emergency declarations, requests from the government, information on the state of infection, etc. Food and beverages may be brought into the venue, but no alcoholic beverages are allowed in order to prevent infectious diseases. Article 5 (Cancellation of Eligibility to Exhibit) In the event that an exhibitor is deemed by the Committee to be guilty of any of the following nuisance behaviors, the exhibitor will be asked to correct the behavior, whether in advance or on the day of the fair. If the exhibitor does not comply with this request, the exhibitor will be subject to immediate suspension of the exhibition, deprivation of the exhibitor's qualification, and immediate evacuation. The exhibitor shall not make any claim to the JGASC for refund of expenses incurred as a result of such measures as "improvement," "immediate suspension," "immediate withdrawal," or "cancellation of eligibility. In the event that the JGASC incurs any costs in implementing these measures, exhibitors shall be liable for the full amount of such costs. 1. If the use of the aisles outside the booth (for attracting visitors, questionnaires, etc.) causes significant inconvenience to other exhibitors or visitors 2. Distribution of printed materials, etc. outside exhibitors' booths in the hallways and public areas is prohibited. 3. If the volume of speakers, etc. disturbs other exhibitors or visitors. Works and performances that significantly infringe on the rights of specific copyrighted works are prohibited. 9. Works or performances that contain specific political, religious, or ideological claims are prohibited. Article 6 (Registered Information and Personal Information) 1. The Committee may use the information provided by prospective exhibitors to the Committee at the time of application (hereinafter referred to as "registered information") for the following purposes. (1) Operation, execution, and management of the Fair, and all operations incidental thereto. (2) To provide information about the services of the Committee and the companies and organizations that make up the Committee (3) Provision of information regarding the products and services of our advertisers or business partners. (4) Questionnaire survey for quality control of this fair and exhibition benefits 2. The Committee will handle personal information among the registered information in accordance with the Committee's Privacy Policy. Article 7 (Intellectual Property Rights, etc.) All rights (including, but not limited to, ownership rights, intellectual property rights, portrait rights, and publicity rights) to the text, images, programs, and other data that comprise the Fair and the Services shall belong to the Committee or to the third party that holds such rights. However, this excludes cases in which the exhibitor itself creates the data and holds the copyright or other rights, or in which the exhibitor has obtained the necessary consent from the right holder. 2. The Committee will not be held responsible for any imitation or other problems that may arise as a result of exhibiting at this event in relation to copyrights or other rights held by exhibitors. 3. The use of intellectual property rights shall be as follows. The organizer and the organizations and media commissioned by the organizer may use the intellectual property rights of the works for the purpose of publicity activities related to the fair and the artists concerned. There shall be no restrictions on the period of use. In the event that the exhibited works and their images are to be used for commercial purposes other than publicity activities related to the fair and the artists, the conditions will be discussed in advance by both parties. Article 8 (Suspension or Discontinuation of the Fair) 1. The Committee reserves the right to suspend or terminate all or part of the Fair in the event of any of the events listed in this Article, and shall not be liable for any damages incurred by the prospective exhibitor, exhibitor, or any third party as a result of such events. (1)In the event that the operation of the fair or the provision of exhibition privileges becomes extremely difficult due to force majeure such as natural disaster, war, riot, disturbance, etc. (2)In the event that the fair cannot be operated or the privilege of exhibiting cannot be provided due to legal or statutory measures. (3) In any other cases where the Committee deems it unavoidable. In the event that the Committee suspends the operation of the Fair or the provision of the privilege of exhibiting at the Fair in accordance with each item of the preceding paragraph, the Committee shall, in principle, notify the applicant in advance by posting on the Fair's website or by e-mail. Article 9 (Regarding Confidentiality) JGASC and exhibitors shall not disclose or divulge to any third party any information obtained from the other party in the course of executing this document and the individual contracts, and shall not use such information for any purpose other than the execution of this document and the individual contracts. However, this does not apply to information that falls under one of the following items. (1) Information that was already in the public domain at the time it was obtained (2) Information that was already legitimately in the possession of the acquiring party at the time it became known, without any obligation of confidentiality. (3) Information that becomes public knowledge after it has been obtained, through no fault of the party who obtained it. (4) Information lawfully obtained by the party with knowledge from a third party other than the other party without any obligation of confidentiality. (5) Information independently developed by the party who obtained the knowledge without relying on the disclosed information In addition, in the event that all or part of each individual business is entrusted to a third party under the responsibility of the organizer, or in the event that the disclosure of confidential information is compulsorily enforced by laws, regulations, or rules of a government agency, the recipient may disclose the information to the extent entrusted and compelled. Article 10 (Regarding Elimination of Antisocial Forces) I hereby declare that I do not fall under the category of anti-social forces (hereinafter referred to as "anti-social forces"), and I pledge that I will not fall under the category of anti-social forces in the future. (2) In the event that an investigation is deemed necessary to determine the applicability of the preceding paragraph, the exhibitor shall cooperate with the investigation and submit any materials deemed necessary by the other party. JGASC reserves the right to terminate this contract without notice if it is found that the exhibitor belongs to antisocial forces. If the Organizer cancels this Agreement in accordance with the aforementioned provisions, the Released Party shall not be liable to compensate for any damage to the Released Party resulting therefrom, and the Released Party shall not be precluded from claiming compensation for damage from the Released Party. Article 11 (Cancellation) 1. If an exhibitor is found to be in violation of this document or the individual contract, JGASC will give written notice to the exhibitor to correct the violation within a reasonable period of time, and if the exhibitor does not correct the violation, JGASC may immediately terminate this document and the individual contract in whole or in part. The organizer may immediately terminate this document and the individual contract without notice if any of the following events occurs in the other party. (1)When a petition for provisional seizure, seizure or auction is filed, or when a petition for commencement of bankruptcy proceedings, civil rehabilitation proceedings or corporate reorganization proceedings is filed, or when the Company enters liquidation (2) When the taxpayer is delinquent in payment of taxes and public dues and is subject to a temporary restraining order (3) When payment is suspended or when a bill or check is dishonored (4) When there is a disposition of suspension of transactions by the clearing house (5) When there is a concern about credit or a significant change in the business (6)When it is recognized that the performance of obligations under this document and individual contracts is difficult. (7) When an officer, employee, or agent commits a wrongful act in connection with the performance of this document or an individual contract. (8) Inability to conduct normal transactions or the occurrence of any event that prevents normal business operations Article 12 (Approval of Exhibition Rules and Regulations) All exhibitors are required to accept and comply with the terms and conditions of this Exhibition Agreement, the Exhibitor Manual, and the rules and regulations established by JGASC and notified to exhibitors. Article 13 (Revision of this Agreement) The Committee may revise the Terms of Use at any time. The revision of the preceding paragraph shall be effective from the time the revised rules are posted on the Fair's website. Article 14 (Governing Law, Court of Jurisdiction) These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. In the event that any question or problem arises with respect to these Terms and Conditions, the Fair, or the Service, the parties shall consult in good faith and attempt to resolve the issue in each case. The Osaka District Court shall be the exclusive jurisdictional court of the first instance for any and all disputes related to this Agreement, the Fair, and the Service.
